1. Introduction and Acceptance of Terms

Welcome to OpenClaw. OpenClaw is a managed hosting and deployment service for OpenClaw Gateway instances and related digital services. By accessing or using our website and services at https://open-claw.org (the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

OpenClaw provides digital services related to managed hosting, deployment, and access for OpenClaw Gateway instances.

Features and service scope vary depending on the subscription plan, product, or package selected at the time of purchase. Available features may include, where applicable:

The specific features, access rights, usage limits, and entitlements included in a purchase are those described on the pricing page, checkout page, or order confirmation at the time of purchase.

OpenClaw does not guarantee that all features are included in every plan.

API access is only included where expressly stated on the applicable pricing page, checkout page, or order confirmation.

3. Eligibility and Account Registration

To use certain parts of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us promptly of any unauthorized use of your account or any other security incident involving your account.

4. Digital Delivery and Provisioning

All OpenClaw products and services are digital. No physical shipping is required.

Access to the Service may be delivered through one or more of the following methods, depending on the purchased plan or product:

Provisioning is typically completed within 5–10 minutes after payment confirmation, but may take up to 24 hours during periods of high demand, maintenance, verification, or technical delay.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms.

You must not:

We reserve the right to investigate suspected violations and to suspend or terminate access where necessary to protect the Service, other users, legal compliance, or platform security.

6. Payments, Billing, and Pricing

Certain features of the Service require payment. By purchasing a subscription, credits, or other paid services, you agree to pay all applicable fees shown at the time of purchase.

Prices, features, and plan availability may change from time to time. Any such changes will apply prospectively unless otherwise stated.

You are responsible for all charges incurred under your account, including applicable taxes, fees, and overage charges where relevant.

If your subscription renews automatically, you authorize us and our payment processors to charge the applicable recurring fees unless and until you cancel in accordance with the applicable billing terms. The billing cycle, renewal terms, and cancellation options presented at checkout and in your account settings will govern the subscription unless otherwise stated.

7. Refunds and Disputes

Purchases are subject to our Refund Policy, if applicable.

Because OpenClaw provides digital services, hosted access, and plan-based entitlements, refunds may be limited or unavailable once provisioning, activation, access, or usage has begun, except as required by law or expressly stated in our Refund Policy.

If you believe there has been an error with your order, billing, or service access, you agree to contact us first at [email protected] so that we may attempt to resolve the issue directly.

We may also provide assistance with activation, setup, configuration, or access-related questions through the support channels listed on our website.

8. Plan Differences and Feature Availability

Not all subscription plans include the same features.

In particular, features such as API access, API tokens, usage credits, hosted instances, support scope, and model access may vary by plan. References to optional or premium features do not mean such features are included in all purchases.

No API access, API tokens, or API-related usage entitlements are included unless expressly stated for the selected plan at the time of purchase.

Where there is any question about what is included in a purchase, the pricing page, checkout page, and order confirmation associated with that purchase will control.

9. Intellectual Property

The Service, including the website design, branding, infrastructure, configuration methods, documentation, and related materials, is owned by OpenClaw or its licensors and is protected by applicable intellectual property laws.

OpenClaw Gateway or related software components may include open-source software governed by their respective licenses. Nothing in these Terms overrides any rights granted under applicable open-source licenses.

Except for rights expressly granted in these Terms, no right, title, or interest in or to the Service or its intellectual property is transferred to you.

You retain any rights you may have in your own lawful inputs and outputs, subject to third-party rights, applicable law, and any underlying model or provider restrictions.

10. Third-Party Services

The Service may integrate with, depend on, or provide access to third-party platforms, APIs, model providers, payment processors, hosting providers, or infrastructure services.

We are not responsible for the availability, performance, policies, or actions of third-party services. Your use of such third-party services may be subject to separate terms and policies imposed by those providers.

11. Privacy and Data

We may collect and process account information, usage records, technical logs, billing information, and other data necessary to operate, secure, maintain, and improve the Service.

Our data practices are described further in our Privacy Policy.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service if:

Where reasonable under the circumstances, we may attempt to provide notice, but we are not obligated to do so in all cases.

Termination or suspension does not relieve you of payment obligations already incurred.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, OpenClaw disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, and uninterrupted access.

We do not guarantee that the Service will be uninterrupted, error-free, fully secure, or suitable for every intended use. We also do not guarantee the accuracy, legality, reliability, or suitability of AI-generated outputs or third-party model responses.

14. Limitation of Liability

To the fullest extent permitted by law, OpenClaw and its operators, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the Service.

To the fullest extent permitted by law, the total aggregate liability of OpenClaw for any claim arising out of or relating to the Service will not exceed the total amount you paid to OpenClaw for the specific paid Service giving rise to the claim during the three (3) months preceding the event giving rise to liability.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless OpenClaw, its operators, affiliates, contractors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

16. Governing Law

These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which the contracting service operator is established, without regard to conflict of law principles.

If a specific legal entity, jurisdiction, or dispute resolution forum is identified on the checkout page, invoice, or order confirmation for your purchase, that identification will control to the extent permitted by law.

17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will become effective when posted on the website, unless otherwise stated.

Your continued use of the Service after revised Terms are posted constitutes your acceptance of the updated Terms.
